These Terms of Service (“Terms”) are a binding agreement between you and CorpAtoll, a sole-trade business registered in the Republic of Maldives (“CorpAtoll”, “we”, “us”). They govern your use of corpatoll.com, the CorpAtoll Client Portal, and all services we provide (together, the “Services”). By creating an account, placing an order, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1. Who we are and what we are not
CorpAtoll helps international founders form U.S. limited liability companies (LLCs), obtain an Employer Identification Number (EIN) or Individual Taxpayer Identification Number (ITIN), arrange registered agent service, receive introductions to U.S. and international banking and payment providers, and keep their companies in good standing.
CorpAtoll is not a law firm, accounting firm, tax advisor, bank, or financial institution. Nothing we say or publish is legal, tax, immigration, or investment advice, and no attorney-client or advisor-client relationship is created. You should consult a qualified professional in the United States and in your home country about your own situation, including your tax residency and reporting duties.
2. Eligibility and your account
- You must be at least 18 years old and have legal capacity to enter into contracts.
- If you order on behalf of a company or another person, you confirm you are authorized to do so and that these Terms bind that entity.
- You must provide accurate, complete, and current information and keep it updated.
- You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us immediately at hello@corpatoll.com if you suspect unauthorized access.
- One person may not maintain multiple accounts to evade checks, limits, or suspensions.
3. The Services and their scope
3.1 What we do. Depending on what you order, we prepare and file formation documents with the relevant U.S. state (currently New Mexico, Wyoming, or Delaware), apply for your EIN or ITIN with the IRS, arrange registered agent service, introduce you to banking and payment partners, and provide compliance reminders and filing support. The exact scope of each service is described on our Services and Pricing pages and in your order confirmation.
3.2 What we do not do. Unless expressly stated in writing, we do not prepare or file your U.S. or home-country tax returns, give tax or legal opinions, guarantee bank or payment account approval, operate your business, or handle your day-to-day bookkeeping.
3.3 Authorization. You authorize CorpAtoll and its partners to act as your agent for the limited purpose of preparing, signing as organizer or authorized representative where permitted, and submitting the filings you ordered.
3.4 Timelines. Turnaround times (for example, “as few as 5 business days”) are estimates. They depend on government processing, the completeness of your documents, and third parties, and are not guarantees.
3.5 Banking introductions. Banks, payment processors, and similar providers make their own decisions under their own terms and compliance rules. We cannot guarantee that any account will be approved, kept open, or remain free of holds or reviews.
4. Orders, fees, and payment
4.1 Pricing. Fees are quoted in U.S. Dollars (USD). State filing fees, government fees, expedite fees, and third-party charges are shown separately from our service fees and may change if the relevant authority changes them.
4.2 Currency and surcharge. If you pay in Maldivian Rufiyaa (MVR), a 40% surcharge applies to cover conversion, banking, and settlement costs. The USD total and the MVR total, including the surcharge, are shown before you pay.
4.3 Payment method. Our primary payment method is bank transfer to our Bank of Maldives (BML) account. You must include your name and your order reference number in the transfer remarks and upload the transfer receipt to the Client Portal. We begin work only after payment is received and matched to your order.
4.4 Third-party charges. Bank fees, currency conversion costs, and charges levied by your own bank are your responsibility.
4.5 Recurring services. Registered agent service, annual compliance, and similar services renew annually unless you cancel before the renewal date. We will send a renewal notice before charging or invoicing you. You are responsible for paying renewal fees on time; unpaid services may lapse, which can cause your LLC to lose good standing.
4.6 Taxes. We may or may not charge 8% Goods and Services Tax (GST), depending on Maldives laws and regulations that apply to the service and to you. Where GST applies, it is added to our fees and shown on your invoice or order confirmation. Our fees are otherwise exclusive of any other taxes or duties that may apply in your jurisdiction, which you are responsible for.
5. Refund policy
All sales are final. CorpAtoll does not give refunds, with two exceptions described below: (1) a delay in an Expedited ITIN application, and (2) an order paid by MVR transfer that we cannot fulfil because of banking restrictions or foreign exchange (FX) limitations. By placing an order, you acknowledge and accept this policy.
| Situation | Refund terms |
|---|---|
| Expedited ITIN ($529) | 30% refund if IRS processing exceeds the advertised window by more than 60 days for reasons within our control. |
| Paid by MVR transfer, and we cannot provide the requested service due to banking restrictions or FX limitations | 90% refund. The other 10% is kept as a charge for services provided before filing. |
| All other cases and services (LLC formation, EIN registration, Standard ITIN, registered agent, annual compliance, renewals, banking introductions, and any other service) | No refund. |
Outside the two exceptions above, fees are non-refundable once paid, including if you cancel, change your mind, or decide not to proceed, whether or not a filing has been submitted. Government, state, expedite, and third-party fees are also non-refundable. Where an Expedited ITIN refund is due, we will issue it within 30 days in the original payment currency, less any bank charges, and the 40% MVR surcharge is refunded only in proportion to the refunded service fee. Where an MVR banking or FX refund is due, we will refund 90% of the amount you paid within 30 days and retain 10% as a charge for the work done before filing. Nothing in this section limits rights you have under mandatory consumer protection law.
6. Your responsibilities
You agree to:
- provide truthful identity, address, ownership, and business information, and genuine, unaltered documents;
- complete identity verification (KYC) and respond to our requests within a reasonable time;
- review all documents we prepare before filing and tell us promptly about errors;
- use your LLC only for lawful purposes and comply with all U.S. federal and state laws and the laws of your home country, including tax, anti-money-laundering, sanctions, and export-control laws;
- keep your registered agent, address, and contact details current with us.
We may delay, refuse, or stop work if we cannot verify your identity or if information appears inaccurate or inconsistent.
7. Ongoing compliance is your responsibility
Forming a company creates continuing obligations. You remain solely responsible for meeting every deadline and obligation that applies to you or your LLC, which may include annual reports, state franchise tax, beneficial ownership (BOI/FinCEN) reporting where applicable, federal filings such as Form 5472 and Form 1120 (or other required forms), state and local tax registrations, and reporting in your home country.
The CorpAtoll dashboard, calendar, and reminders are a convenience only. We are responsible for a specific filing only if you purchased that filing service and we confirmed it in writing. Missed deadlines, penalties, and loss of good standing resulting from your failure to act are your responsibility.
8. Third parties
Our work depends on state registries, the IRS, registered agents, banks, payment providers, and other third parties. We are not responsible for their delays, errors, rejections, policy changes, or decisions, nor for the terms or conduct of any third-party service you use, even where we made the introduction.
9. Acceptable use and sanctions
You must not use the Services to:
- carry out unlawful, fraudulent, deceptive, or abusive activity, including money laundering, terrorist financing, tax evasion, or sanctions evasion;
- form or operate an entity for a prohibited purpose or for or on behalf of any person or country subject to applicable sanctions;
- submit false or stolen identity documents or impersonate another person;
- interfere with or attempt unauthorized access to our website, portal, or systems, or scrape or reverse engineer them.
We may refuse service, suspend or terminate accounts, withhold or cancel pending filings, and report suspected unlawful activity to authorities where required or permitted by law. In such cases, fees already incurred may be retained to the extent permitted by law.
10. Client documents and portal
You retain ownership of the documents and information you upload. You grant us a limited license to use them to deliver the Services, as described in our Privacy Policy. Documents we prepare for you (such as formation certificates and EIN letters) belong to you once all fees are paid in full. You should download and keep copies of your documents; we may remove portal files after the retention period in our Privacy Policy.
11. Intellectual property
The CorpAtoll name, logo, website, portal, software, content, and templates are owned by or licensed to CorpAtoll and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the portal for your own business purposes. You may not copy, resell, or redistribute our content or tools without written permission.
12. Disclaimers
The Services are provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that any filing will be accepted, that any tax outcome will result, or that the portal will be uninterrupted or error-free.
13. Limitation of liability
To the maximum extent permitted by law:
- CorpAtoll’s total liability for any claim arising out of or relating to the Services is limited to the fees you paid to us for the specific service giving rise to the claim in the 12 months before the claim arose;
- we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, revenue, business, goodwill, or data;
- these limits do not exclude liability that cannot lawfully be excluded, including for fraud or willful misconduct.
Document leaks and data breaches. CorpAtoll is not responsible for the leak, disclosure, or loss of your documents or personal data unless it results from CorpAtoll’s own fault, such as our negligence, our failure to apply the safeguards described in our Privacy Policy, or our misconduct. We are not responsible where a leak or disclosure is caused by you or by third parties, including where your login credentials, devices, or email accounts are shared or compromised; where you send documents outside the Client Portal (for example by email or chat); where data has been submitted to government registries, banks, registered agents, or other third parties that operate under their own rules (some filings become public record); or where unauthorized access could not reasonably have been prevented despite our safeguards. Where CorpAtoll is at fault, our liability remains subject to the limits in this Section.
14. Indemnity
You agree to indemnify and hold harmless CorpAtoll from claims, penalties, and expenses (including reasonable legal fees) arising from your breach of these Terms, your unlawful use of the Services or your LLC, or inaccurate or false information you provide.
15. Suspension and termination
You may stop using the Services or close your account at any time by contacting us, subject to Section 5. We may suspend or terminate your access if you breach these Terms, if required by law or a third-party provider, or if we cannot verify your identity. On termination, accrued payment obligations remain due, and provisions that by nature should survive (including Sections 5, 7, 10 to 14, 16, and 17) will survive. Closing your account with us does not dissolve your LLC; you remain responsible for its status and obligations.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of Maldives. Before starting any formal proceeding, you agree to contact hello@corpatoll.com and try in good faith to resolve the dispute within 30 days. If it is not resolved, the courts of Malé, Maldives have exclusive jurisdiction, unless mandatory law in your country of residence gives you the right to bring a claim elsewhere.
17. General
- Electronic communications. You agree that we may communicate with you, and that notices may be given, by email, through the Client Portal, or by WhatsApp message, and that electronic signatures and records are valid.
- Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including government shutdowns, system outages, banking disruptions, natural events, or changes in law.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a restructuring or transfer of the business.
- Severability and waiver. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
- Entire agreement. These Terms, the Privacy Policy, and your order confirmation are the entire agreement between us and replace prior understandings. If there is a conflict, the order confirmation prevails for that order.
- Language. These Terms are written in English; any translation is for convenience only.
18. Referral program
18.1 How it works. Customers may refer new customers to CorpAtoll through the referral link or code available in the website or Client Portal. To earn a referral payout, both the referrer and the referred customer must complete a purchase of our Services.
18.2 Partners. Creators, PR contacts, and media partners approved by CorpAtoll (“Partners”) are exempt from the requirement that the referrer make a purchase. Partners remain subject to the other terms of this program unless stated otherwise in writing.
18.3 Payout amounts. Payouts are tier-based and depend on the number of customers you have referred, paid per referral (“R”):
| Customers referred | Payout per referral |
|---|---|
| Up to 50 | MVR 1 |
| Up to 150 | MVR 2 |
| Up to 300 | MVR 3 |
18.4 Requesting a payout. The minimum payout is MVR 100. Payouts are made within 60 days of the date you request them.
18.5 Period with no payouts. Customers (other than Partners) will not receive any payouts for referrals made between 1 November 2026 and 28 February 2027, even if those referrals are displayed on our website or in the Client Portal. Partners are exempt from this exclusion.
18.6 Misuse. We may withhold, cancel, or reverse payouts, and remove you from the program, if we reasonably suspect self-referral, fake or duplicate accounts, or other abuse, or if a referred customer’s purchase is refunded.
18.7 Changes. We may change or end the referral program at any time. Changes do not affect payouts already earned and requested under the terms in force when they were earned.
19. Coupons and discounts
Coupons and discount codes issued to you are for your own use. You may not share, resell, or publish a coupon that was shared with you, unless you are a Partner. We may refuse or cancel any order that uses a coupon in breach of this section, and coupons cannot be exchanged for cash.
20. Changes to these Terms
We may update these Terms. We will notify you of material changes through the portal or by email at least 14 days before they take effect. Continued use after the effective date means you accept the updated Terms. Orders placed before a change are governed by the Terms in force when you placed them, unless the change is required by law.
